What are NLPs and how do they work?

Non-performing loans (NPLs) are delinquent loans where interest or principal payments are more than 90 days overdue. In the Spanish real estate context, they represent creditor positions secured by real assets.

Its operation is based on acquiring debt at a discount to its face value, allowing the investor to enforce the collateral or negotiate with the debtor to obtain a return. The actual financial margin comes from the discount applied to the face value of the debt when acquiring the creditor position, not from the surplus of equity/debt.

¿Cómo funciona la cesión de remate?

La cesión de remate permite transferir la posición de adjudicatario a un tercero antes de la inscripción registral. Herramienta ágil para inversores que operan con estructura de flipping financiero.

Requiere: (1) cláusula expresa en el auto de adjudicación, (2) notificación al juzgado, y (3) coordinación notarial para evitar nulidades.

Frequently Asked Questions (Customer Support)

Does the debtor have the right to extinguish the debt by repaying the amount paid?
Yes. The creditor has nine days after learning of the debt purchase to make that payment, but… how can you pay off something in one lump sum that couldn't be paid in installments? It's not usually the case.
Can a debtor pay overdue installments to become a long-term creditor again?
No. Once in the judicial execution phase, the debtor can only pay everything at once, plus the costs of the auction process to recover the asset.
What happens if the defendant appeals alleging unfair clauses?
We are at the execution stage. That's why we are requesting what the law stipulates. No term can be considered abusive at this advanced stage of the legal process.
What happens if I own a property and don't want to manage it myself?
In that case, we handle the sale through ourselves and other associated real estate agencies, or we can manage your rental if you wish to lease it as an investment property.
1. What are NLPs and how do they work?

Technical Definition: Non-Performing Loans (NPLs) are credit operations in which the borrower has failed to meet their payment obligations for a prolonged period, generally more than 90 days, according to the criteria of the European Central Bank and the Bank of Spain.

Economic Model of NPLs: The financial margin does not come from the appreciation of the property per se, but from the discount applied to the nominal value of the debt at the time of acquiring the creditor position. For example, acquiring a nominal debt of €200,000 for €100,000 (50% discount) generates an immediate safety net, provided that the Appraisal Value (AV) of the asset guarantees the solvency of the foreclosure (AV/Debt ratio ≥ 1.25x recommended).

7. What is the process for participating in a judicial auction?
1. Publication and Deposit: Announcement on subastas.boe.es. Requires a deposit of 5% of the auction value (not the appraisal) into the court's account.
2. Bidding and Award: Online bidding with digital certificate. The bid must be higher than 50-70% of the VT (Total Value) depending on the case.
3. Payment of the Remaining Amount: Critical Deadline: The successful bidder has 20 business days to pay the remaining amount.
8. How does the assignment of auction rights work?

Figure of Art. 647 LEC : The creditor who wins the auction transfers their right of adjudication to a third party (investor). It allows access to assets without competing in an open auction and by offsetting the debt.

Tax Note: It is taxed by ITP on the overpayment, not on the total value of the property.
